TOS – Toast® Ordering Integration Addendum

This Toast® Integration Addendum (the “Addendum”) applies if you elect to use the Toast® Integration as selected in the Order Form. In the event of a conflict between this Addendum and the Agreement, this Addendum will govern in connection with the Toast® Integration. All capitalized terms contained in this Addendum shall have the same meaning assigned to them in the Agreement, unless otherwise defined or modified herein.

1. Payment processing services for Merchants through the Toast® Integration are provided by Stripe, Inc. (“Stripe”), and utilization of Toast® Integration requires Merchant to establish and maintain a Stripe Connected Account with Stripe, subject to the terms and conditions of the applicable Stripe Connected Account Agreement (located at https://stripe.com/connect-account/legal) and Stripe Services Agreement (located at https://stripe.com/legal) (collectively “Stripe Services Agreement”).
2. Payment for Toast® Integration orders processed through the Branded App and Web Ordering Services will be processed by Stripe, subject to Stripe’s deduction of its payment processing fee in effect at the time of the order as agreed to by Merchant pursuant to the Stripe Services Agreement. In addition, Merchant shall be responsible, and Thanx will immediately deduct at the time of payment processing, a flat online delivery fee as specified in the applicable Order Form for any orders requiring in-person delivery by a third party on-demand delivery service. Thanx will be responsible for remitting final payment of all delivery fees collected from Merchant to such third party on-demand delivery services.
3. Payment refunds and disputes shall be handled by Stripe in accordance with its published dispute and refund policies in effect at the time of such end user dispute. Refunds and disputes with respect to delivery fees are subject to the refund policies of the applicable third party on-demand delivery service in effect at the time of such dispute. Thanx shall not be obligated to refund any delivery fees that have not been refunded to Thanx by the applicable on-demand delivery service.
